Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SJK & Sons LLC® ("Company," "we," "us," or "our") governing your access to and use of the GritLeanPulse mobile application, website, and related services (collectively, the "Service").

By downloading, installing, or using GritLeanPulse, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use GritLeanPulse. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding contract
• Your use of the Service does not violate any applicable law or regulation

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To access the full features of GritLeanPulse, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials confidential and not share your password
• Notify us immediately at support@gritleanpulse.com if you suspect unauthorized access to your account
• Be responsible for all activity that occurs under your account

We reserve the right to terminate accounts that contain false information, are associated with fraudulent activity, or violate these Terms.

4. Subscriptions and Billing

GritLeanPulse offers a free tier with limited features and a premium subscription with full access.

Subscriptions may be purchased directly on our website (gritleanpulse.com) or through the Apple App Store or Google Play Store ("Platform"). When subscribing via our website, billing is processed through our payment provider and is governed by their terms. When subscribing through a Platform, billing is managed by the respective Platform and their terms apply. SJK & Sons LLC® does not directly store or process your payment card information.

By subscribing, you authorize recurring charges at the applicable subscription rate until you cancel. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

Prices are in US dollars and may be subject to applicable taxes depending on your jurisdiction. We reserve the right to change subscription pricing. If we do, we will provide at least 30 days' advance notice, and the change will apply to your next renewal after the notice period.

5. Free Trial

New users may access a 7-day free trial of GritLeanPulse Premium. The trial begins when you activate a premium subscription in the app.

• No charge is made during the trial period
• To avoid being charged, you must cancel before the trial period ends — through your account settings at gritleanpulse.com (for web subscriptions) or through the App Store or Google Play settings on your device (for platform subscriptions)
• If you do not cancel before the trial ends, your chosen subscription (monthly or annual) will activate and you will be charged the applicable rate
• Each Apple ID or Google account is eligible for one free trial. Subsequent trials on the same account are at our discretion

6. Cancellation and Refunds

Cancellation

You may cancel your subscription at any time. If you subscribed on our website, you can cancel through your account settings at gritleanpulse.com or by contacting support@gritleanpulse.com. If you subscribed through the App Store (iOS) or Google Play (Android), manage cancellation through those platform settings:

• iOS: Settings → [Your Name] → Subscriptions → GritLeanPulse → Cancel Subscription
• Android: Google Play Store → Menu → Subscriptions → GritLeanPulse → Cancel

Cancellation takes effect at the end of the current billing period. You will retain access to premium features until that date. We do not prorate partial-month or partial-year subscriptions upon cancellation.

Refunds

For subscriptions purchased directly on our website, contact support@gritleanpulse.com to request a refund. We generally do not issue refunds for partial subscription periods, but will work with you in good faith in cases of demonstrated technical failure attributable to our service.

For subscriptions purchased through Apple or Google, refund requests must be directed to the respective platform:

7. Not Medical Advice

GritLeanPulse is a personal health tracking and information tool. The Service, including any AI-generated content from the Nutrition Coach feature, is provided for informational and self-monitoring purposes only.

GritLeanPulse is not:

• A medical device as defined by the FDA or equivalent regulatory bodies
• A substitute for professional medical advice, diagnosis, or treatment
• A means of monitoring for medical emergencies or acute health conditions
• A service provided by licensed physicians, dietitians, or other healthcare professionals

Always seek the advice of your physician, dietitian, or other qualified healthcare provider with any questions you have regarding a medical condition, medication (including GLP-1 agonists), diet, or exercise program. Never disregard professional medical advice or delay seeking it because of something you read or calculated in GritLeanPulse.

If you experience a medical emergency, call 911 (US) or your local emergency services immediately.

8. User Responsibilities

You are responsible for:

• The accuracy and completeness of the data you enter into GritLeanPulse, including food logs, body measurements, and medication information
• Ensuring your device is compatible and running a supported operating system version
• Maintaining an internet connection sufficient to sync your data and use cloud-dependent features
• Keeping your device secure and your account credentials private
• Using the Service in compliance with all applicable laws and regulations in your jurisdiction
• Making independent decisions about your health and wellness, and consulting healthcare professionals as appropriate

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of the Service, other user accounts, or our systems
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the app
• Use automated bots, scrapers, or other tools to access or extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity or falsely claim an affiliation
• Resell, sublicense, or transfer access to the Service to any third party
• Use the Service to develop a competing product or service
• Submit false, misleading, or fraudulent information

10. Intellectual Property

GritLeanPulse and all its content, features, and functionality — including but not limited to the software, design, graphics, text, algorithms, AI models, databases, and trademarks — are owned by SJK & Sons LLC® or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

License Grant to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use GritLeanPulse on devices you own or control, solely for your personal, non-commercial health tracking purposes.

Restrictions

You may not copy, modify, distribute, sell, sublicense, or create derivative works based on the Service or any part of it without our prior written consent.

Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback in any manner we choose, without any obligation to you.

11. User Content

You retain ownership of all personal data and content you enter into GritLeanPulse (your food logs, body measurements, medication data, etc.) ("User Content").

By using the Service, you grant SJK & Sons LLC® a limited, non-exclusive license to process, store, and use your User Content solely to provide and improve the Service, as described in our Privacy Policy.

You represent and warrant that you own or have the necessary rights to submit your User Content, and that your User Content does not violate any third-party rights or applicable law.

12. Third-Party Services

GritLeanPulse integrates with third-party services including Apple HealthKit, Google Fit, Withings, Renpho, HumeHealth, RevenueCat, Supabase, and Anthropic (collectively "Third-Party Services"). Your use of these integrations is subject to the respective third-party's terms of service and privacy policies.

We are not responsible for the availability, accuracy, or practices of Third-Party Services. We do not endorse and are not responsible for any content or services provided by third parties accessed through or linked from the Service.

Disconnecting a Third-Party Service integration does not automatically delete historical data already synced to GritLeanPulse. To delete that data, you must delete your account or submit a data deletion request as described in our Privacy Policy.

13. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• ANY DEFECTS WILL BE CORRECTED
• THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR HARMFUL COMPONENTS
• THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SJK & SONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY HEALTH OUTCOMES OR MEDICAL DECISIONS MADE IN RELIANCE ON THE SERVICE
• ANY INACCURACIES IN NUTRITIONAL DATA, BODY COMPOSITION CALCULATIONS, OR AI-GENERATED RECOMMENDATIONS

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless SJK & Sons LLC® and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Your User Content

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms.

You may terminate your account at any time by deleting it within the app or by contacting us at support@gritleanpulse.com.

Upon termination: your license to use the Service ends immediately; we may delete your data in accordance with our Privacy Policy; any outstanding subscription fees for the current billing period are non-refundable; provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and dispute resolution) will survive.

17. Dispute Resolution

Informal Resolution First

Before initiating any formal dispute process, you agree to first contact us at support@gritleanpulse.com and give us 30 days to attempt to resolve the issue informally.

Binding Arbitration

If we cannot resolve a dispute informally, you and SJK & Sons LLC® agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court, except for claims that qualify for small claims court.

Arbitration shall be conducted by a mutually agreed arbitration service under its applicable rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND SJK & SONS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm, without waiving the right to arbitrate other claims.

18. Governing Law

These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located within Connecticut.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via in-app notification and/or email to the address on your account

Material changes take effect 30 days after notice is provided, except for changes required by law which take effect immediately. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
